Terms of Service

1. Services

Proposal System One provides managed document response services, including preparation of responses to RFPs, RFIs, security questionnaires, and related documents. The specific scope of work, deliverables, and pricing will be agreed upon separately for each engagement or as part of an ongoing retainer agreement.

2. Your responsibilities

You agree to:

• —Provide accurate and complete information about your company for use in responses
• —Review all drafts before submission — you are responsible for the accuracy of submitted responses
• —Not submit documents for which you do not have the authority to respond
• —Pay invoices on time as agreed in your service agreement

3. Accuracy and review

We make every effort to produce accurate, well-researched responses. However, all draft responses require your review and approval before submission. You are solely responsible for the content of any document submitted to a third party on your behalf. Proposal System One is not liable for outcomes resulting from submitted proposals, including contract awards, rejections, or disputes.

4. Confidentiality

Both parties agree to keep confidential any non-public information shared in the course of the engagement. This includes your company documentation, client information, and the contents of submitted documents. We will not disclose your documents or information to third parties except as required to deliver the service.

5. Intellectual property

All response documents produced for you under this service become your property upon payment of applicable fees. We retain no claim to documents delivered to you. You grant us a limited license to use your company information solely for the purpose of delivering the services.

6. Limitation of liability

To the fullest extent permitted by law, Proposal System One's liability arising from or related to these terms or the services provided will not exceed the fees paid by you in the three months preceding the claim. We are not liable for indirect, incidental, or consequential damages of any kind.

7. Termination

Either party may terminate a retainer engagement with 30 days written notice. Per-project engagements terminate upon delivery and payment. We reserve the right to suspend service for non-payment or material breach of these terms.

8. Changes to these terms

We may update these terms from time to time. Continued use of our services after notice of changes constitutes acceptance of the updated terms. We will provide reasonable notice of material changes.
